General rules of legal bodies’ liquidation:

First of all one applies to registering organization (district administration, executive committee) with petition for dissolution and  record confirming decision on liquidation . After that your company will be placed to the United state register of legal persons as the one in the stage of liquidation.  In addition you’ll receive document confirming liquidation of your legal entity, which will be necessary for your further actions.

The next stage of liquidation includes:

Publication in the newspaper “Republic” information about the liquidation of legal person, Indicating the adders of liquidating commission and terms of claims acceptance which in accordance with Civil Code is not less than 2 months.

Checking of the legal person by state bodies: social safety fund, taxing authorities, Belgosstrah (in accordance with decree №1 of the president of republic of Belarus from 16.01.2009 “On the state registration and liquidation of business entities”). The inspection of legal person under liquidation must be carried out during 30 working days since the date of appliance.

Actions on the offsetting of credit debts, vindication of accounts receivable, termination of an account and other actions connected with property, belonging to legal entity.

Preparation of documents and their  transfer to the archive.

Performing of other actions necessary for the procedure termination.

After the termination of the above mentioned procedures one should give back to the registering body stamp, certificate of registration, copy of publication in the newspaper “Republic”, and also liquidation balance, containing information on  the absence of bill receivable and bill payable. After that registering body takes decision on the excluding of legal person from  the United state register of legal persons and issues appropriate extract from the USR(united state register).

Consequently basing on the above information, the procedure of liquidation is rather intensive process, which depending on the wide range of factors (difficulties in the process of liquidation, debts, property, quantity of people who worked for you etc ) can take 2 month and more.
